PLEASE READ THIS UNIVERSAL TERMS OF SERVICE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

Ⅰ. OVERVIEW

This Terms of Service Agreement (the "Agreement") is an agreement between CompuWRXs, LLC ("CompuWRXs") and you ("User" or "you" or "client" or "your"). This Agreement sets forth the general terms and conditions of your use of the products and services purchased or made available by CompuWRXs (collectively, the "Services") and is in addition to (not in lieu of) any specific Contracts or Agreements that apply to the particular Services. By using the Services, you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access the Services.

Whether you are simply browsing or using this site or purchased Services, your use of the Site or purchased Services signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, along with the terms of the following policies.

Ⅱ. BILLING and PAYMENT INFORMATION

A. Prepayment

It is your responsibility to ensure that your payment information is up to date, and that all invoices are paid on time. You agree to pay for the Services in advance of the time period during which Services are provided. Subject to applicable laws, rules, and regulation, payments received will be first applied to the oldest outstanding invoice in your billing account.

B. Autorenewal

Unless otherwise provided, you agree that until and unless you notify CompuWRXs of your desire to cancel the Services, you will be billed on an automatically recurring basis to prevent any disruption to your Services, using your credit card or other billing information on file with us.

C. Taxes

Listed fees for the Services do not include any applicable sales, use, revenue, excise or other taxes imposed by any taxing authority. Any applicable taxes will be added to CompuWRXs’ invoice as a separate charge to be paid by you. All fees are non-refundable when paid unless otherwise stated.

D. Late Payment

All invoices must be paid within ten (10) calendar days of the invoice due date. Any invoice that is outstanding for more than ten (10) calendar days may result in the suspension or termination of Services. Access to the Services will not be restored until payment has been received. If you fail to pay the fees as specified herein, CompuWRXs may suspend or terminate your account and pursue collection costs incurred by CompuWRXs, including without limitations, any arbitration and legal fees, and reasonable attorneys’ fees. CompuWRXs will not activate new orders or activate new packages or provide new features for customers who have an outstanding balance on their account.

E. Domain Purchase and Renewals

Domain renewal notices are provided for domain names purchased through CompuWRXs at thirty (30) days before the renewal deadline date. If the renewal fees are not received by CompuWRXs from you prior to the renew deadline, the domain will not be renewed.

Domain names that are not renewed prior to the renewal deadline risk being permanently lost and non-recoverable.

F. Price Changes

CompuWRXs reserves the right to change its prices and fees at any time, and such changes will be posted online at this site and effective immediatey without need for further notice to you. If you have purchased or obtained Services for a period of months or years, changes in prices and fees shall be effective when the Services in question come up for renewal.

CompuWRXs also reserves the right to charge you reasonable "administrative" fees for
   (i). tasks CompuWRXs may perform outside the normal scope of its Services
   (ii). additional time and/or costs CompuWRXs may incur in providing its Services
  and/or
   (iii). your noncompliance with this Agreement (as determined by CompuWRXs in its sole and absolute discretion).

Typical administrative or processing fee scenarios include, but are not limited to
   (i). late notices
   (ii). cost of Services
   (iii). additional maintenance due to your noncompliance with this Agreement

G. Monthly Billing

If you are being billed on a monthly basis, your monthly billing due date will be the first of the month.

H. Fraud

It is a violation of this Agreement for you to misuse or fraudulently use credit cards, charge cards, debit cards, electronic fund transfers, electronic checks, standard paper checks or any other payment methd. CompuWRXs will report any such misuse or fraudulent use to governmental and law enforcement authorities, credit reporting services, financial institutions and/or credit card companies.

I. Payment Card Industry Security Standard Disclaimer

CompuWRXs complies with the Payment Card Industry Security Standard ("PCI Standard") in connection with the collection and processing of our customer’s data and billing information. However, you are soley responsible for the security of the data and billing information on your User Website i.e., Shopping Carts and Online Billing Transactions

Domains that plan on hosting shopping carts, online billing transactions or user data should purchase an account that is PCI compliant.

Ⅲ. Cancellations and Refunds

A. Non-refundable Products and Services

There are no refunds on administrative fees, installation & configuration, custom software development, hosting⁄maintenance fees or purchased domain names.

B. Cancellation Process

You may terminate or cancel the Services by giving CompuWRXs written notice. In such event you shall be obligated to pay all fees and charges accrued prior to the effectiveness of such cancellation.

C. Domain Cancellations

Domain renewals are billed and renewed thirthy (30) days before the renewal deadline date. It is your responsibility to notify CompuWRXs to cancel any domain registration prior to the renewal dealine date.

D. Termination

CompuWRXs may terminate your access to the Services, in whole are in part, without notice in the event that you (i) fail to pay any fees due, (ii) violate any part of this Agreement.

Ⅳ. MISAPPROPRIATION OF RESOURCES, ABUSIVE ACTIVITIES and OTHER THREATS

A. Unauthorized CPU amd Disk Usage

Our servers are not an archive and we shall have no liability to you or any other person for loss, damage or destruction of any of your content. Hosting space may only be used for web files and content of User Websites. The hosting space may not be used for storage (whether email, media or other data), including offsite storage of electronic files, email or FTP'ed files.

B. Unacceptable Use of Services

You agree not to engage in unacceptable use of the Services, which includes, without limitation, use of Services to:(i) attempt to mislead any person as to the identity source or origin of any communication, (ii) interfere, disrupt or attempt to gain unauthorized access to any computer system, server, network or account for which you do not have authorization to access, (iii) use your server as an open "open relay" for any of the above purposes.

C. Network Attacks

You acknowledge and agree that you may not use our servers and your website as a source, intermediary, reply to address, or destination address for mail bombs, internet packet flooding, packet corruption, denial of service, or other abusive activities that threaten the stability of the CompuWRXs network or will damage the systems of, or cause a disruption of internet services to CompuWRXs, our customers, or any third parties.

Server hacking or other attempted penetrations of security is prohibited. We reserve the right to block sites that hacking activities originate from.

D. Misappropriation of Resources

Our hosting plans are domain specific and resource allocation specific. Resources include but are not limited to CPU, Bandwidth and Disk resources. In an attempt to circumvent hosting fees related to the consumption of resources, you agree to not embed website materials hosted at CompuWRXs on domains located elsewhere, thereby circumventing hosting fees at either CompuWRXs or the other hosting provider.
